Registration of associations of enterprises

Pursuant to the law of Ukraine, companies may, on a voluntary basis, combine their business activity (production, commerce and others). Business combination is a business organization founded within two or more companies for the purposes of coordinating their production, scientific and other activity in order to solve common economic and social tasks. Business combination is a legal entity. 

Business combinations are founded as associations, corporations, consortiums, concerns and other business combinations stipulated with the applicable law.

Association is a contractual combination founded for permanent coordination of business activity of combined companies through centralization of one or more production and management functions, development of specialization and cooperation of production, organization of co-production. Association may not intervene into business operation of the companies joining the association. As decided by the association members, the association may be authorized to represent their interests to governmental bodies, other companies and organizations.

Corporation is a contractual combination founded based on united production, scientific and commercial interests of combined companies, with some authorities of centralized regulation of each member’s operation delegated to the corporation management bodies.

Consortium is a temporary charter-based business combination founded in order to enable its members to achieve a certain common business goal (implementation of target programs, scientific-and-technical or construction projects etc.). Consortium uses funds provided by its members, centralized resources allotted for financing of the relevant program, as well as funds coming from any other sources, in accordance with the procedure stipulated with the consortium’s charter.

Concern is a charter-based business combination founded based on financial dependence of its members on one member or a group of the combination members, with the centralized functions of scientific-and-technical and production development, investment, financial, foreign economic and other activities. Concern members provide it with a part of their authorities, including a power to represent their interests to governmental bodies, other companies and organizations. Concern members may not join any other concerns at the same time.

Decision on foundation of a business combination (corporate memorandum) and its charter are coordinated with the Antimonopoly Committee of Ukraine (AMCU) in accordance with the procedure stipulated with the applicable law.
